These Terms of Service ("Terms") govern your access to and use of the Breakout Ventures website at breakoutventures.tech, our consultation booking process, and our AI workflow automation and custom software development services (together, the "Services"). By visiting our website, booking a consultation, or engaging Breakout Ventures for a project, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Breakout Ventures is a studio that provides:

• AI workflow automation across support, sales, finance, and operations
• Intelligent assistants and internal tools
• Custom web, mobile, and desktop applications
• Data platforms, analytics, and dashboards
• Software consulting, architecture reviews, and dedicated engineering teams
• Agile consultancy and process coaching

We also build and operate our own independent SaaS products, including CareerRoyale, Proxiya, AdPloria, and EnterTown. Each of these products is its own platform with its own terms of service and privacy policy, which govern your use of them - these Terms cover breakoutventures.tech and the consulting and development services described above, not those third-party products.

By using our website, you agree not to:

• Use the site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to our systems or another user's data
• Interfere with or disrupt the operation of the website or its infrastructure
• Scrape, copy, or reproduce site content beyond normal browsing without our consent

Our website is intended for business use and is not directed at individuals under 18 years of age, in line with our Privacy Policy.

Submitting a consultation request through our booking form does not, by itself, create a binding contract for services. A project begins only once we and the client have agreed on scope, timeline, and fees in a separate proposal or agreement. Information you submit through the booking form (project description, timeline, budget range, and contact details) is used to prepare and follow up on that proposal.

For engagements where we build custom software or automation on a client's behalf:

• Specific scope, fees, timelines, and intellectual property terms are set out in the project agreement or statement of work for that engagement, which takes precedence over these Terms where the two conflict
• Unless otherwise agreed in writing, ownership of project-specific deliverables transfers to the client upon full payment
• Breakout Ventures retains ownership of its own pre-existing tools, frameworks, and general know-how used to deliver the work
• Client data shared for a project remains the property of the client, consistent with our Privacy Policy

The Breakout Ventures name, logo, website design, and content (excluding client deliverables covered under a separate project agreement) are the property of Breakout Ventures and may not be copied, reproduced, or used without our written permission.

Fees for consulting and development engagements are agreed on a project-by-project basis and set out in the relevant proposal or statement of work. Payment terms, invoicing schedules, and any late-payment provisions will be specified there.

We treat business, technical, and project information shared with us in the course of an engagement as confidential, and we expect the same in return regarding any non-public information we share with a client. Specific confidentiality obligations for a given engagement may be further defined in a separate mutual non-disclosure agreement.

Our website and general service information are provided "as is." While we take reasonable care to keep our website accurate and available, we do not guarantee that it will be uninterrupted, error-free, or free of viruses or other harmful components.

Specific service-level commitments, warranties, and acceptance criteria for a project are set out in that project's agreement rather than in these general Terms.

To the fullest extent permitted by law, Breakout Ventures shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or general consultation process. Liability arising from a specific client engagement is governed by the limitation of liability terms in that engagement's project agreement.

Our website links to third-party services and to our own independently operated products (CareerRoyale, Proxiya, AdPloria, and EnterTown). We are not responsible for the content, terms, or practices of third-party sites, and use of our own separately operated products is governed by each product's own terms.

We may suspend or restrict access to our website for anyone who violates these Terms. Termination of an active client engagement is governed by the termination provisions in that engagement's project agreement.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, unless a specific project agreement states otherwise.

We may update these Terms from time to time to reflect changes in our services or applicable law. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our website after changes take effect constitutes acceptance of the updated Terms.
